End User License Agreement

1. Agreement to Terms

This End User License Agreement ("EULA") is a legal agreement between you ("User") and MTCS Business Finance LLC ("Company") governing your use of the MTCS QuickBooks Online integration application ("Application"). By connecting your QuickBooks Online account to our Application, you agree to be bound by this EULA.

2. License Grant

Subject to your compliance with this EULA, MTCS Business Finance LLC grants you a limited, non-exclusive, non-transferable, revocable license to use the Application solely for the purpose of receiving bookkeeping and CFO advisory services from MTCS Business Finance LLC.

3. Scope of Access

The Application accesses your QuickBooks Online data through Intuit's OAuth 2.0 API. Specifically, the Application will:

• Read your Chart of Accounts, transactions, financial reports, company information, and bank account metadata
• Write account entries, journal entries, and transaction categorizations as part of our bookkeeping services

All write operations are reviewed by our professional accounting team before execution. The Application does not access bank login credentials, Social Security numbers, or other sensitive personal identifiers.

4. Data Handling

Your data is handled in accordance with our Privacy Policy. Key points:

• Data is encrypted in transit (TLS) and at rest (AES-256)
• OAuth tokens are encrypted and never logged
• Data is not sold or shared with third parties
• You can disconnect and request data deletion at any time

5. Restrictions

You agree not to:

• Reverse engineer, decompile, or disassemble the Application
• Share your access credentials or allow unauthorized use of the Application
• Use the Application for any purpose other than receiving MTCS Business Finance LLC's services
• Attempt to circumvent any security measures of the Application

6. Intellectual Property

The Application, including all code, processes, and methodologies, is the intellectual property of MTCS Business Finance LLC. This EULA does not grant you any ownership rights in the Application. Your QuickBooks data remains your property at all times.

7. Service Availability

The Application depends on QuickBooks Online API availability provided by Intuit. MTCS Business Finance LLC is not responsible for service interruptions caused by Intuit, network outages, or other factors outside our control. We will make reasonable efforts to maintain service availability during business hours.

8. Disclaimer of Warranties

THE APPLICATION IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MTCS Business Finance LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE APPLICATION. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU FOR OUR SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Termination

This EULA is effective until terminated. You may terminate at any time by disconnecting your QuickBooks Online account. MTCS Business Finance LLC may terminate this EULA if you breach any terms. Upon termination, your access to the Application will cease and we will revoke all OAuth tokens.

11. Governing Law

This EULA is governed by the laws of the State of California, without regard to conflict of law principles.
